Terms And Conditions

Welcome to Vendorre (“Vendorre”, “we”, “our”, “us”).

These Terms & Conditions (“Terms”, “Agreement”) govern your use of:

  1. The Vendorre website and mobile applications.
  2. Marketplace features, seller tools, and related functionality; and
  3. Any software, content, or services provided by Vendorre

(collectively, the “Vendorre Services”).

By accessing or using Vendorre Services—including browsing, creating an account, buying, or selling—you agree to be bound by these Terms and all related policies. If you do not agree, you must stop using Vendorre Services immediately.

Vendorre operates as a global marketplace, with users in the United States, African countries, and other international regions.

1. Scope & Acceptance of Terms

1.1 Global Use (USA, Africa, International)

Vendorre is accessible to users in the USA, various African countries, and many other countries worldwide. Use of the platform in any territory must comply with:

  1. These Terms; and
  2. All local laws and regulations applicable in your country.

1.2 Agreement to Terms

By using Vendorre Services, you confirm that you have:

  1. Read and understood this Agreement; and
  2. Agreed to be bound by these Terms, including our Privacy Policy, Shipping Policy, Return & Refund Policy, and other referenced policies (collectively, the “Vendorre Policies”).

1.3 Click-to-Accept

When you create an account and click “I agree” (or similar), these Terms become a legally binding contract between you and Vendorre.

1.4 Marketplace Role

Vendorre is a platform that connects independent Vendors (sellers) with Customers (buyers).

  1. The sales contract for goods is between the Vendor and the Customer.
  2. Vendorre is not a party to that contract, except where Vendorre is clearly indicated as the seller.
  3. Vendors are responsible for compliance with local law in their country, including consumer law, product standards, and tax obligations.

1.5 Changes to Terms & Services

We may modify these Terms or introduce, change, or discontinue features at any time. Updates become effective when posted on Vendorre. Continued use after changes means you accept the updated Terms.

2. Eligibility & Account Registration

2.1 Who Can Use Vendorre

To use key features (buying, selling, payments, etc.), you must:

  1. Create a Vendorre account;
  2. Provide accurate registration information;
  3. Comply with applicable laws where you reside (USA, Africa, or other countries).

2.2 Age & Legal Capacity

By using Vendorre, you confirm that:

  1. You have the legal capacity to enter into a contract under the laws of your country; and
  2. You meet the minimum age required to use online marketplace services in your jurisdiction.

If you are under the legal age, you may only use Vendorre with the consent and supervision of a parent or legal guardian, where allowed under local law.

2.3 Account Responsibility

You are responsible for:

  1. Keeping your login details confidential;
  2. Controlling access to your account and devices;
  3. All activity under your account, whether in the USA, Africa, or internationally.

If your account is compromised, you must notify Vendorre promptly.

2.4 Accurate & Up-to-Date Information

You agree to provide:

  1. True, accurate, complete information (e.g., name, business details, address, contact information); and
  2. Prompt updates if any information changes (e.g., new address, company registration, tax status).

Vendorre may suspend or close accounts with false, incomplete, or misleading information.

2.5 Account Sharing & Transfer

You may not sell or transfer your account, or share your credentials in a way that violates these Terms. If you choose to let others access your account, you are responsible for their actions.

3. Privacy & International Data Handling

3.1 Privacy Policy

Your privacy is important. Our Privacy Policy explains how we collect, use, store, transfer, and protect your personal data across:

  1. The United States;
  2. African countries where Vendorre is used;
  3. Other international regions.

3.2 Cross-Border Data Transfers

Because Vendorre is a global marketplace, your information may be processed in other countries, including outside your country of residence (for example, servers in the USA or Europe). We will take reasonable measures to protect your data in line with applicable data protection laws.

3.3 Communications

You agree that Vendorre may contact you by email, SMS, phone, or in-app notifications for:

  1. Account and security updates;
  2. Order and shipping notifications;
  3. Dispute resolution and support;
  4. Surveys and feedback;
  5. Marketing communications where permitted by law and where you have not opted out.

You can adjust certain communication preferences in your account settings.

4. Intellectual Property & Platform Content

4.1 Ownership

All content on Vendorre—including text, images, logos, graphics, icons, videos, software, and data compilations—is owned by Vendorre or its content providers and is protected by intellectual property laws in the USA, African countries, and internationally.

4.2 Vendorre Brand

The name “Vendorre”, the Vendorre logo, and associated branding elements are trademarks or service marks of Vendorre. You may not use them without our prior written consent.

4.3 Limited Use

You may:

  1. Browse Vendorre;
  2. View product pages;
  3. Use the platform for personal shopping or managing your Vendor account.

You may not:

  1. Copy or reproduce the platform for commercial use (other than listing your own products as a Vendor);
  2. Create derivative works from Vendorre’s code, design, or content;
  3. Use Vendorre content for a competing platform.

5. License & Acceptable Use

5.1 Limited License

Vendorre grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use Vendorre Services for:

  1. Personal, non-commercial use (as a buyer); or
  2. Legitimate commercial use limited to listing and selling products (as a Vendor).

5.2 Prohibited Actions

You agree not to:

  1. Use bots, scrapers, or data mining tools to harvest product or user data;
  2. Interfere with or disrupt Vendorre’s systems;
  3. Circumvent security measures;
  4. Use Vendorre for fraudulent, illegal, or abusive activity in any country.

Vendorre may suspend or terminate your license if you breach these Terms or applicable law.

6. User Content (Reviews, Comments, Media)

6.1 Content You Post

You may post:

  1. Product reviews and ratings;
  2. Comments, questions, suggestions;
  3. Photos or videos relating to your experience.

You agree that your content:

  1. Is lawful, truthful, and respectful;
  2. Does not incite hatred, discrimination, violence, or crime;
  3. Does not infringe any third party’s rights (intellectual property, privacy, etc.);
  4. Does not contain viruses, spam, or promotional content unrelated to Vendorre.

6.2 License to Vendorre

By posting content, you grant Vendorre a worldwide, royalty-free, perpetual, irrevocable, sublicensable license to:

  1. Use, reproduce, modify, adapt, translate, publish, and display your content in any media;
  2. Use your public username or display name with that content.

6.3 Responsibility & Moderation

You are solely responsible for the content you post. Vendorre may:

  1. Monitor, edit, or remove content at its discretion;
  2. Use or refuse to use your content for marketing or platform purposes.

7. Products, Listings & Pricing

7.1 Independent Vendors

Most items on Vendorre are sold by independent Vendors located in the USA, African countries, and other international regions. Each Vendor is responsible for:

  1. Creating accurate listings;
  2. Ensuring product legality in their country and in destination countries;
  3. Compliance with consumer and safety laws.

7.2 Accuracy of Descriptions

While Vendorre encourages accurate listings, we do not guarantee that all product descriptions, prices, or other content are always complete, current, or error-free.

If a product is substantially different from its description, you may request a return or refund according to the Return & Refund Policy, subject to applicable local law.

7.3 Pricing & Currency

  1. Product prices are set by Vendors or Vendorre (where Vendorre acts as the seller).
  2. Prices may be shown in different currencies depending on your region.
  3. Taxes, customs duties, and shipping fees may be added at checkout.

If a price is clearly incorrect or unreasonable due to an error, Vendorre or the Vendor may cancel or adjust the order.

8. Orders, Payments & Invoices

8.1 Order Confirmation

When you place an order, you are making an offer to buy. The order is confirmed when:

  1. The Vendor or Vendorre accepts it; and
  2. Payment is successfully processed.

8.2 Payment Methods

Vendorre may support different payment options, including:

  1. Credit/debit cards;
  2. Digital wallets;
  3. Mobile money in certain African countries;
  4. Other third-party processors.

You must:

  1. Use only lawful payment methods;
  2. Ensure your payment details are accurate;
  3. Authorize the charge for the total amount (including shipping, taxes, duties where applicable).

8.3 Invoices & Tax

Invoices or receipts may be generated by:

  1. Vendorre;
  2. The Vendor;
  3. The payment provider.

Tax treatment varies by country (e.g., sales tax in the USA, VAT in some African or international jurisdictions). Vendors are responsible for complying with local tax laws in their own country.

9. Shipping, Delivery & International Logistics

9.1 Shipping Methods

Shipping may vary depending on where the Vendor and Customer are located:

  1. Within the USA:
  2. Vendors and Vendorre partners typically use USPS, DHL, or FedEx.
  3. From international Vendors to global Customers:
  4. Vendors outside the USA may use DHL or FedEx and other reputable carriers.
  5. Within African countries:
  6. Vendors may use local delivery companies, such as local couriers, motorbike services, postal services, or national logistics providers.

9.2 Risk & Ownership

Ownership and risk of loss pass according to:

  1. The sales contract between Vendor and Customer; and
  2. The shipping terms with the carrier.

If a parcel is lost or damaged in transit, remedies will follow the Return & Refund Policy and any applicable local law.

9.3 Customs, Duties & Import Taxes

For cross-border shipments:

  1. Customs duties, import taxes, and clearance fees may be charged by your country’s authorities.
  2. These costs are usually the responsibility of the Customer, unless otherwise stated at checkout or required by local law.

10. Returns, Refunds & Local Consumer Rights

10.1 Return & Refund Policy

Vendorre’s Return & Refund Policy explains:

  1. When items can be returned;
  2. Time limits;
  3. Conditions (unused, original packaging, etc.);
  4. Categories that may be non-returnable (e.g., intimate items, perishable goods, digital downloads, custom-made items).

10.2 Country-Specific Consumer Rights

In some countries (including parts of the USA, Africa, and other regions), mandatory consumer protection laws may grant you additional rights (e.g., cooling-off periods, statutory warranties).

Where there is a conflict, mandatory local law will prevail over the policy.

11. Disclaimers

11.1 “As Is” Basis

Vendorre Services, and all content, software, and products made available through them, are provided “as is” and “as available” unless otherwise stated.

11.2 No Guaranteed Availability

Vendorre does not warrant that:

  1. The Services will be uninterrupted or error-free;
  2. Defects will always be corrected immediately;
  3. The platform is free from viruses or harmful components.

11.3 Third-Party Responsibility

Vendorre is not responsible for:

  1. Actions or omissions of Vendors;
  2. Performance of carriers and payment providers;
  3. Compliance of Vendors with local laws in their respective countries.

Your use of Vendorre is at your own risk.

12. Limitation of Liability

To the maximum extent permitted by applicable law:

  1. Vendorre shall not be liable for indirect, incidental, special, consequential, or punitive damages (including loss of profits, data, or goodwill), whether arising in USA, Africa, or any other jurisdiction.
  2. If Vendorre is found liable despite these limits, our total liability to you for any claim shall not exceed the total amount you paid for the product or service giving rise to the claim (excluding shipping, taxes, or duties).

Some countries do not allow certain limitations of liability. Where local law prohibits such limitations, those specific limitations may not apply to you.

13. Buyer–Vendor Relationship & Disputes

13.1 Contract Between Buyer & Vendor

When you purchase a product, the primary contract is between you and the Vendor. Vendorre provides the platform and may assist with disputes but is not the seller (unless indicated).

13.2 Dispute Resolution with Vendors

If a problem arises:

  1. First, contact the Vendor through Vendorre’s messaging or support tools;
  2. If unresolved, you may open a dispute or contact Vendorre support for assistance;
  3. Vendorre may mediate but cannot guarantee outcomes in every jurisdiction.

You agree not to hold Vendorre responsible for disputes strictly between you and the Vendor, except where Vendorre is the seller or where required by applicable law.

14. Governing Law & Jurisdiction

14.1 Primary Governing Law

Unless a specific local law in your country requires otherwise, this Agreement and your use of Vendorre Services are governed by the laws of the United States of America and the laws of the U.S. state in which Vendorre’s main company is registered (to be specified in your final legal setup), without regard to conflict of law rules.

14.2 Local Mandatory Laws (USA, Africa, International)

  1. If you are located in the USA, certain federal and state consumer protection laws may apply.
  2. If you are located in an African country or other international region, mandatory local consumer and commercial laws may apply and override parts of these Terms where they cannot be waived.
  3. In case of conflict between these Terms and non-waivable local laws, the local laws will prevail to that extent only.

14.3 Dispute Resolution

Vendorre may require that disputes be resolved through:

  1. Negotiation and customer support first; then
  2. Arbitration, mediation, or another alternative dispute resolution mechanism, on an individual (not class-action) basis, where permitted by law.

Specific details (venue, rules, etc.) can be set out in a separate Dispute Resolution Policy or in the final legal version of these Terms.

15. Your Commitments & Prohibited Conduct

You represent and warrant that you will:

  1. Use Vendorre only for lawful purposes;
  2. Comply with all laws applicable in your country (USA, African country, or other);
  3. Not use Vendorre to commit fraud, money laundering, or other illegal acts;
  4. Not attempt to hack, exploit, or reverse-engineer Vendorre’s systems.

Vendorre may suspend or terminate accounts and, where legally allowed, cooperate with law enforcement if fraudulent or illegal activity is suspected.

16. Changes to These Terms

Vendorre may modify these Terms and any related policies at any time. We will update the “Last updated” date and may notify users via email, notification, or on-site banner.

Your continued use of Vendorre Services after changes become effective will constitute your acceptance of the updated Terms.

17. Severability & Entire Agreement

  1. If any provision of these Terms is held invalid or unenforceable in a particular jurisdiction, the remaining provisions remain in full force.
  2. These Terms, along with the Vendorre Policies, form the entire agreement between you and Vendorre regarding your use of the Services, superseding any prior agreements.
